ExComS AI Knowledge Agent Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you (and, if applicable, the organisation you represent) and Express Communication Services Limited, trading as ExComS (“ExComS”, “we”, “us”), governing your use of ExComS AI Knowledge Agent, including the excoms.ai trial, the Studio drafting feature, and any paid subscription (together, the “Service”). By creating an account or using the Service, you accept these Terms. If you do not agree, do not use the Service.

Company registration details: Express Communication Services Ltd, company number 08099517, registered office 960 Capability Green, Capability Green, Luton, LU1 3PE. The Service is developed by ExComS Innovation Center Ltd (company number 10982946).

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for your account, for keeping your Microsoft sign in credentials secure, and for all activity under your account. Sign in is via Microsoft Entra ID (personal or organisational Microsoft accounts, depending on the access path; see section 3). You must provide accurate information and keep it current.

3. What the Service does

ExComS AI Knowledge Agent reads a library of academic papers that you upload (PDF, Word, or Markdown), builds a private, citation grounded knowledge base over only your own library, and lets you: (a) ask questions and receive answers with per sentence citations back to your sources, including figures and charts drawn from your papers; and (b) use Studio to generate draft sections of academic writing, grounded in your library, against a brief and marking rubric you supply. The Service is a research and drafting aid. It does not replace your own reading, judgement, or scholarship; see section 8 (Academic integrity and responsible use) and section 9 (Disclaimers).

4. Free trial

We offer a free trial of the Service, external to the Microsoft Commercial Marketplace, at excoms.ai, usable with a personal or organisational Microsoft account. The trial is currently 7 days from first sign in and is subject to usage caps (documents, pages per document, questions per day, and Studio builds and drafts) that may change without notice. At the end of the trial, your trial content is deleted per our documented process (see the Privacy Policy, section 5) unless you subscribe to a paid plan first. We may limit, change, or withdraw the trial at any time; one trial per Microsoft account.

5. Subscriptions, plans, and billing

• Paid plan. The current paid plan is Specialist, billed per user at US $19 per month. Price is stated in USD as the Microsoft Commercial Marketplace base currency; other display currencies (including GBP) are Microsoft’s approximate conversion and may vary.
• Microsoft is the merchant of record. The Specialist plan is sold exclusively through the Microsoft Commercial Marketplace as a transactable SaaS offer. Your purchase, billing, invoicing, and payment method are handled by Microsoft under Microsoft’s own commercial marketplace terms, which apply in addition to these Terms. We do not receive or store your card or bank details (see Privacy Policy, section 2).
• Auto-renewal. Subscriptions renew automatically each billing period until you cancel through the Microsoft channel used to purchase, or your subscription is suspended or ended as described below.
• Usage caps. Your plan has caps on documents, pages per document, daily questions, Studio builds and drafts, and publications, as described at the point of purchase or in app; caps may be adjusted between plan revisions.
• Taxes. Prices are exclusive of VAT and sales tax unless stated otherwise; Microsoft handles tax collection and remittance for Marketplace transactions.
• Refunds and cancellation. Governed by the Microsoft Commercial Marketplace’s refund and cancellation policies for the transaction you made. Cancelling stops future renewals; it does not retroactively refund the current billing period except as Microsoft’s policies provide.
• What happens to your data if you cancel. Your account and library remain accessible for a 2 month grace period after cancellation (so you can resubscribe without losing your library), after which your content is deleted per our documented process (see the Privacy Policy, section 5).
• Direct billing. Not currently offered. If we add a direct billing path in future, it will be covered by an update to these Terms.

6. Your content and intellectual property

• You keep your content. You retain all rights, title, and interest in the papers, briefs, rubrics, and any other material you upload (“Your Content”), and in the drafts you complete using the Service. We do not claim ownership of Your Content.
• The licence you grant us. You grant ExComS a limited, non-exclusive, worldwide licence to host, copy, process, and analyse Your Content solely to provide the Service to you (for example extracting text, building your concept graph, generating embeddings, and producing citations and drafts). This licence ends when Your Content is deleted per our retention process (Privacy Policy, section 5), except where retained as required by law.
• No training on Your Content. We do not use Your Content to train AI models (see Privacy Policy, section 3).
• You are responsible for what you upload. You confirm you have the right to upload the papers and materials you add to your library, and that doing so does not infringe any third party’s copyright or other rights. Upload only your own research library or published and publicly available papers, not confidential third party material you are not entitled to share.
• Our IP. The Service itself (the software, models, concept graph engine, prompts, and underlying technology) is owned by ExComS or our licensors. These Terms grant you a licence to use the Service; they do not sell it to you or grant you any rights in our IP beyond that use.

7. Acceptable use

You agree not to: misuse or disrupt the Service; attempt to gain unauthorised access to another user’s library or account; reverse-engineer the Service except as permitted by law; resell or provide the Service to third parties except under an authorised arrangement; upload malware or unlawful content; or use the Service to violate any law or any institution’s academic conduct policy.

8. Academic integrity and responsible use

ExComS AI Knowledge Agent is an assistive tool. It is built so that every factual claim in a Studio draft is grounded in a passage from your own library, and your own analysis, argument, and conclusions are deliberately left as gaps for you to write; see our Academic Integrity statement for the full detail of how this works.

• You are responsible for your submitted work. The Service assists your research and drafting; it does not do the work for you, and it is not a substitute for your own scholarship, judgement, or verification. You are solely responsible for ensuring that any work you submit (for assessment, publication, or any other purpose) complies with your institution’s rules, your supervisor’s expectations, and any applicable academic integrity or authorship policy, including rules on AI assistance disclosure.
• Verify before you use. Citations, summaries, and drafted text may contain errors; you must check each cited claim against the original source before relying on it.
• Your institution’s policy comes first. If your institution or supervisor does not permit AI drafting assistance on a given piece of work, do not use Studio for that work.

9. Disclaimers

The Service is provided “as is” and “as available.” AI generated answers, citations, figures, charts, and Studio drafts are produced by a language model, may contain errors, omissions, or misattributions despite the Service’s citation grounding and abstention design, and are not a substitute for reading the original sources or for your own academic judgement. To the maximum extent permitted by law, we make no warranty that the Service will be error free, uninterrupted, or fit for any particular purpose, including submission for assessment or publication.

10. Limitation of liability

To the maximum extent permitted by law, ExComS is not liable for indirect, incidental, special, or consequential losses, or loss of profit, revenue, data, or goodwill, including any consequence of submitting AI assisted work that breaches an academic integrity policy, since that determination and responsibility rest with you (section 8). Our total aggregate liability arising from or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud).

11. Suspension and termination

You may stop using the Service and close your account at any time; use the in app library reset control to delete Your Content, or contact us. We may suspend or terminate access if you breach these Terms, fail to pay (including where Microsoft notifies us your subscription lapsed or was suspended), or where necessary to protect the Service or other users. On termination, your right to use the Service ends; Your Content is retained and deleted per the Privacy Policy’s retention schedule (section 5), not deleted immediately on termination, unless you request immediate deletion.

12. Changes to the Service and these Terms

We may update the Service and these Terms. We will post updated Terms here and revise the “Last updated” date; where changes are material, we will notify users where appropriate (for example by in app notice or email). Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory local law provides otherwise.
