1. Agreement
These Terms of Use (“Terms”) govern your access to and use of the software-as-a-service products operated by ExComS Innovation Center Ltd (“ExComS”, “we”, “us”), including but not limited to AI Marking Agent, AI Phone Agent, AI Writing Analysis Agent, AI Knowledge Agent, AI Quotations Agent, AI WiFi Survey Agent, AI WiFi Monitor Agent, and any successor or related products (each, a “Service”).
By creating an account, subscribing through a marketplace, or otherwise using a Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility and accounts
You must be at least 18 years old and have legal capacity to enter into a binding contract. Where you use a Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us at coding@excoms.com immediately of any unauthorised use.
3. Subscriptions, plans and billing
Each Service is offered under one or more subscription plans. Plan inclusions (usage limits, features, support tier) and pricing are published on the relevant product page or marketplace listing at the time of purchase.
Subscriptions are billed in advance, on either a monthly or annual cycle. Monthly subscriptions renew every calendar month from the start date; annual subscriptions renew every twelve months. Billing is handled by us directly, by a third-party payment processor we appoint, or by the marketplace through which you subscribed (for example, Microsoft Commercial Marketplace).
Prices are exclusive of VAT and other applicable taxes, which will be added at the prevailing rate where required.
4. Cancellation and refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle; you retain access to the Service until that date. Where you subscribed through a marketplace, cancellation is processed via that marketplace’s tools.
Refunds are available within 14 days of the first purchase of a new subscription (consumer cancellation right). Outside that window, paid fees are non-refundable, save where required by applicable law. Where a Service experiences a material outage attributable to us, we will at our discretion credit affected customers a proportion of the relevant subscription fee.
5. Acceptable use
You agree not to:
Use a Service in any unlawful manner or for any unlawful purpose.
Submit content that infringes the intellectual property, privacy or other rights of any third party.
Attempt to reverse-engineer, decompile, or extract source code from a Service, except to the extent that such activity cannot lawfully be restricted.
Interfere with the operation of a Service, attempt to gain unauthorised access, or probe for vulnerabilities other than in accordance with a written agreement with us.
Use a Service to develop a competing product or to scrape or mass-extract data for use outside the Service.
Where a Service includes AI-assisted output: rely on such output as the sole basis for any decision that has legal, financial, academic or safety consequences. AI-assisted output is an aid, not a substitute for qualified human judgement.
6. Customer content
You retain ownership of all content you upload to or generate within a Service (“Customer Content”). You grant us a worldwide, non-exclusive licence to host, process, transmit and display Customer Content solely to the extent necessary to provide the Service to you, to maintain and improve the Service, and to comply with our legal obligations.
Customer Content is processed in accordance with our Privacy Policy.
7. Our intellectual property
All right, title and interest in and to the Services, including all software, designs, branding, documentation and underlying technology, remain the exclusive property of ExComS or our licensors. Nothing in these Terms transfers any intellectual property right to you, except the limited right of use expressly granted.
8. Service availability and changes
We aim to provide each Service on a continuous basis but do not guarantee uninterrupted availability. We may from time to time make changes to features, pricing, integrations and supported environments. Where a change materially reduces the functionality of a paid Service during a billing cycle you have already paid for, we will provide reasonable advance notice and, where required, a pro-rata refund.
Beta, preview and pilot features are provided “as-is” and may be withdrawn or changed at any time.
9. Suspension and termination
We may suspend or terminate your access to a Service immediately, with or without notice, if:
You materially breach these Terms and, where capable of remedy, fail to remedy that breach within 14 days of written notice.
Your account is the subject of a payment failure that is not resolved within 14 days.
Continued provision would, in our reasonable opinion, expose us, you or a third party to legal, regulatory or security risk.
On termination for any reason, your right to use the Service ceases immediately and we may delete Customer Content in accordance with our data retention policy, having provided you a reasonable opportunity to export it.
10. Disclaimers
Except as expressly stated in these Terms, each Service is provided “as-is” and “as-available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence and liability for fraud.
Subject to the above, our total aggregate liability arising out of or in connection with these Terms or your use of a Service is limited to the amount you paid us for the Service in the 12-month period immediately preceding the event giving rise to the liability.
We are not liable for indirect, consequential, special, incidental, exemplary or punitive damages, including loss of profits, loss of business, loss of goodwill, or loss of or damage to data, however arising.
12. Indemnity
You agree to indemnify and hold harmless ExComS and our officers, employees and agents from any claim, demand, loss or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) your Customer Content.
13. Confidentiality
Where either party receives non-public information from the other in connection with a Service, it will treat that information as confidential and use it only for the purposes of the Service. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
14. Changes to these Terms
We may amend these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect. Continued use of a Service after the effective date constitutes acceptance of the amended Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.
